Free processing applies only to the recurring processing fees. For greater certainty, “recurring processing fees" exclude, without limitation: (i) any underlying payroll funding obligations (wages, taxes, third party remittances); (ii) implementation and professional service fees or other one-time fees; (iii) fees for additional services such as custom reports, additional delivery locations and year-end services (except for first T4 production as applicable); (iv) third-party pass-through charges (including delivery charges); (v) bank fees such as wire and NSF fees; (vi) fees for the delivery, maintenance and sale of equipment; (vii) fees for other Services purchased by Client; and (viii) penalties and interest.
